TERMS AND CONDITIONS OF SALE AND DELIVERY


A.            BASIS OF AGREEMENT

All sales and deliveries of products from Vetrotech SG Nordic & Baltic Branch of Vetrotech SG International AG Switzerland, central business registration number DK 31480795 (hereinafter referred to as ”Vetrotech”) to a customer (hereinafter referred to as ”Purchaser”) shall be subject to these Terms and Conditions unless otherwise appears from an express, written agreement. The Purchaser’s specification of special terms and conditions shall not be regarded as agreed, unless they are accepted by Vetrotech in writing.

The agreement between the Purchaser and Vetrotech shall be regarded as finally concluded at the time of Vetrotech’s forwarding of an order confirmation to the Purchaser. 

The Purchaser’s cancellation or change of an order once a final agreement has been concluded shall be subject to the written approval of Vetrotech. Vetrotech may condition its approval of a cancellation or change on the Purchaser’s paying Vetrotech’s costs and losses associated with such cancellation and change.

Under certain circumstances, Vetrotech may be entitled to cancel the agreement, see Clause O below.


B.            PRICES

The final price appears from Vetrotech’s order confirmation.

VAT, customs duties, freight charges and other charges will be added to the price.


C.            PAYMENT BY THE PURCHASER

The Purchaser’s payment shall be as stipulated in the order confirmation or invoice from Vetrotech.

If the Purchaser fails to make timely payment of amounts due, interest will accrue in pursuance of the Danish Interest Act as from the due date stipulated in the invoice.


D.           DELIVERY, FREIGHT AND INSURANCE

The INCOTERMS shall apply to delivery, freight and insurance.

Delivery in Denmark will be “DDU” (delivery duty unpaid), unless otherwise agreed in writing between the Purchaser and Vetrotech. Consequently, delivery will be regarded as having taken place at the point in time at which the product was made available to the Purchaser at the place of delivery stipulated in the order confirmation.

In so far as possible, the order confirmation will contain information for the Purchaser about the expected time of dispatch of the product from the production facility and the expected time of delivery. The time of delivery is only indicative and may be changed by Vetrotech.

The packaging is “wooden boxes” or “custom stands”. The custom stands are loaned by Vetrotech and must be returned to the place of delivery by the Purchaser. If such return has not been effected within four (4) weeks from delivery, the stands will be charged to the Purchaser at DKK 2,500.00 (price currently applicable).


E.            THE PURCHASER’S INSPECTION AND NOTICE OF LACK OF CONFORMITY

The Purchaser undertakes to make the necessary inspections of the products upon delivery with the purpose of finding any defects. Notice of defects shall be given immediately when the defect could be found and not later than two (2) years after delivery. 

Defective products shall not be installed. Vetrotech shall not be liable for losses or costs as a consequence of the installation of defective products.


F.            PRODUCT PROPERTIES

Below is a description of the contractual properties of Vetrotech’s products. Consequently, the properties mentioned in this Clause F shall not be deemed to be defects in the product. 

i) PRODUCTION SPECIFIC DATA

Glass is a material that has a number of special properties. Vetrotech makes information available about the properties and deviations of the products at countries.vetrotech.com. This information, including information about deviations in terms of dimensions, content, thicknesses, weight and colour nuances, describes what is normal for glass products.

ii) DEVIATIONS FROM STANDARDS

When glass is built into a given structure, the physical conditions will always be different from the theoretical conditions to which the published function data pertain. For instance, there may be deviations in terms of temperature changes in the atmospheric pressure, wind characteristics, heating and radiation or frame materials. These physical, deviating conditions may result in a change of the function data of the product as well.

iii) INTERFERENCE

Interference in the form of spectral colours may appear in the case of sealed insulating glass units. This interference occurs when particularly plane glass surfaces are reflected in each other under special light conditions.


iv)
CONCAVE/CONVEX SURFACE

At the time of production, there is a balance between the pressure in the glass produced and the ambient barometric pressure. This balance may be disrupted as a consequence of changes in the ambient pressure (weather conditions, installation height above sea level, etc.). The consequences may be concave or convex deflections in the unit produced. This means that “seen from the outside” the glass may appear slightly malformed.

v) IRISATIONS

The production of tempered glass takes place by means of heat and a tension inside the glass core. The tension zones may sometimes be visible in polarized light. As daylight, depending on the weather and the time, contains big or small amounts of polarized light, coloured rings “irisations” or other optical distortion in the glass may occur.

vi) COLOUR OPTICS – RAW MATERIALS ISSUES

All raw material components in glass products have their own colour, which becomes more or less visible depending on the thickness of the glass. Furthermore, the individual components of coated glass have their own colour. These nuances may appear differently, depending on the optical angle (viewed directly, from oblique angles, etc.). Differences in the colour experience arise as a consequence of the glass content of iron oxide, the coating process, the actual coating as well as a change in glass thicknesses and the structure of the glass pane and such differences cannot be avoided.

vii) DEFLECTIONS

Deflections of up to 5mm per running metre may occur in tempered glass.


G.            FIRE PROPERTIES

All the fire properties stated by Vetrotech are based on test and classification reports from an independent fire technical institute. The fire properties of the products have been tested in various installation solutions, including frame elements of wood, steel or aluminium and fittings. The installation solutions tested and approved together with the product are described as approved installation solutions.

In order to obtain the fire properties stated, the product must be installed in an approved installation solution and in pursuance of the Building Regulations and the Collection of Examples of fireproofing of buildings published by the National Agency for Enterprise and Construction and other regulatory requirements in force from time to time.
